1. Acceptance of Terms

By accessing or using SoloSolutionsAI ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms apply to all users, including professionals who create accounts ("Professionals") and individuals who submit information through intake conversations ("Clients").

2. Description of Service

SoloSolutionsAI provides an AI-powered client intake and onboarding platform for solo practitioners and small businesses across multiple professions. The Service includes: conversational AI intake (chat and phone), AI-generated summaries and intelligence briefs, email notifications, client submission management, document upload and AI analysis, marketing content generation (blog posts, social media copy, visual cards), third-party integrations (HubSpot CRM, Zapier, webhooks, Calendly), and website widget embedding.

3. Account Registration

To use the Service as a Professional, you must:

• Be a licensed, certified, or qualified professional in your field (where applicable)
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Be responsible for all activities under your account
• Promptly update your account information if it changes

You may not create an account on behalf of another person or entity without their authorization. We reserve the right to suspend or terminate accounts that contain false or misleading information.

4. Subscription and Billing

4.1 Plans and Pricing

The Service is offered in multiple subscription tiers (Starter, Pro, and Pro+), each with different feature access levels and usage limits. Current pricing and feature details are available on our pricing page. We reserve the right to modify pricing with 30 days' advance notice.

4.2 Free Trial

All plans include a 14-day free trial with full Pro+ access. You will not be charged until your trial ends. If you do not select a paid plan before the trial expires, your account will be moved to the Starter tier.

4.3 Payment

Payments are processed securely through Stripe. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis. You are responsible for keeping your payment information current.

4.4 Cancellation and Refunds

You may cancel your subscription at any time. Upon cancellation, your access continues through the end of your current billing period. No prorated refunds are issued for partial billing periods. You may manage your subscription through the Stripe Customer Portal accessible from your account settings.

5. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose or in violation of any applicable laws or regulations
• Submit, collect, or store information that you are not authorized to collect
• Attempt to circumvent data boundary enforcement mechanisms (e.g., intentionally collecting prohibited data types such as Social Security Numbers, credit card numbers, or government IDs through modified intake questions)
• Use the Service to send spam, unsolicited communications, or harass individuals
• Attempt to gain unauthorized access to the Service, other accounts, or related systems
• Reverse engineer, decompile, or disassemble any part of the Service
• Resell, redistribute, or sublicense the Service without our written consent
• Use the Service in a manner that could damage, disable, or impair our infrastructure
• Use AI-generated content (blog posts, marketing copy) in a misleading or deceptive manner
• Misrepresent AI-generated summaries or intelligence briefs as your own professional analysis

6. AI Disclosure and Limitations

6.1 Nature of AI Services

SoloSolutionsAI uses artificial intelligence (powered by Anthropic Claude) to conduct intake conversations, generate summaries, produce intelligence briefs, analyze documents, and create marketing content. AI-generated content is produced algorithmically and may contain errors, omissions, or inaccuracies.

6.2 Not Professional Advice

IMPORTANT: AI-generated summaries, intelligence briefs, context notes, document analyses, and any other AI output provided through the Service do not constitute legal advice, medical advice, financial advice, therapeutic guidance, or professional counsel of any kind. All AI output is informational only and is intended to assist — not replace — the professional's own judgment, analysis, and expertise.

6.3 Professional Responsibility

Professionals are solely responsible for reviewing AI-generated content before acting on it, making their own professional assessments, and ensuring their use of the Service complies with all applicable professional standards, licensing requirements, and ethical codes.

6.4 AI-Generated Marketing Content

Blog posts and marketing content generated through the Service are created by AI based on your profession, specialties, and location. You are responsible for reviewing all generated content for accuracy, appropriateness, and compliance with advertising regulations applicable to your profession before publishing.

7. Professional Relationship Disclaimer

IMPORTANT: SoloSolutionsAI is a software tool only. Use of this Service does not create a professional-client relationship of any kind between SoloSolutionsAI and either the Professional or the Client. Specifically:

• For attorneys: Use of the Service does not create an attorney-client relationship. Establishing such a relationship is the sole responsibility of the attorney in accordance with their jurisdiction's rules of professional conduct.
• For therapists and counselors: The AI intake conversation does not constitute a therapeutic session, clinical assessment, or treatment. Establishing a therapeutic relationship is the sole responsibility of the licensed professional.
• For social workers: The intake process does not constitute a social work assessment, intervention, or case management activity.
• For healthcare professionals: AI-generated intelligence briefs do not constitute medical diagnoses, and should not be treated as clinical recommendations.
• For financial professionals: The Service does not provide financial, tax, or insurance advice. All professional determinations are the responsibility of the licensed professional.
• For all professions: Clients submitting intake information are prospective clients of the Professional, not clients of SoloSolutionsAI. The Professional is solely responsible for the professional relationship.

8. Third-Party Integrations

The Service allows Professionals to connect third-party services including HubSpot, Zapier, Make, custom webhook endpoints, and Calendly. By connecting a third-party integration:

• You authorize SoloSolutionsAI to transmit intake data to the connected service as configured
• You are solely responsible for the privacy, security, and compliance of data once it reaches the third-party service
• You acknowledge that third-party services are governed by their own terms of service and privacy policies
• You are responsible for informing your clients that their data may be shared with third-party services and obtaining any required consent
• SoloSolutionsAI is not liable for data breaches, misuse, or policy violations by third-party services

9. Document Uploads

The Service allows Professionals to request documents from Clients, which Clients may upload voluntarily. By using this feature:

• AI Analysis: Uploaded documents are processed by AI to generate structured summaries for the requesting Professional. These summaries are informational only and do not constitute professional analysis or advice.
• No Human Review: No employee, contractor, or representative of SoloSolutionsAI views, reads, or reviews uploaded documents. All processing is fully automated.
• Limited Retention: Uploaded documents and AI summaries are automatically deleted 30 days after upload. SoloSolutionsAI is not a document storage service.
• Access Control: Documents are accessible only to the Professional who requested them. Documents are encrypted in transit (TLS) and at rest (AES-256).
• Deletion Rights: Clients may request immediate deletion of uploaded documents at any time by contacting privacy@solosolutionsai.com.

Professional Responsibility: Professionals are responsible for ensuring that requesting, receiving, and storing client documents complies with all applicable professional conduct rules, confidentiality obligations, and data protection laws in their jurisdiction.

10. Data Ownership

You retain ownership of all data you input into the Service. By using the Service, you grant us a limited, non-exclusive license to process your data solely to provide, maintain, and improve the Service. We do not claim ownership of your intake data, documents, or generated content.

AI-generated content (summaries, intelligence briefs, blog posts, marketing copy) created through the Service is provided to you for your use. You may use, modify, and publish this content as you see fit, subject to your professional and legal obligations.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY AI-GENERATED CONTENT. WE DO NOT PROVIDE LEGAL, MEDICAL, FINANCIAL, OR PROFESSIONAL ADVICE OF ANY KIND.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOLOSOLUTIONSAI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO: LOSS OF REVENUE, LOSS OF DATA, LOSS OF CLIENTS, PROFESSIONAL LIABILITY CLAIMS, OR REGULATORY ACTIONS ARISING FROM USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify and hold harmless SoloSolutionsAI from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorney's fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your violation of any professional or ethical obligation; or (e) any claim by a third party (including your clients) related to your use of the Service or data shared through integrations you have configured.

14. Termination

You may cancel your subscription and close your account at any time. Upon cancellation, your access continues through the end of your current billing period.

We reserve the right to suspend or terminate your account for violation of these Terms, fraudulent activity, or any reason with reasonable notice. In the event of termination, we will provide you with a reasonable opportunity to export your data.

Upon account deletion, we will delete your account information, intake records, and associated data from our systems, subject to any legal retention requirements and our data retention policy.

15. Changes to Terms

We may modify these Terms at any time. We will notify registered Professionals of material changes by email at least 30 days before the changes take effect. Continued use of the Service after the effective date of changes constitutes acceptance of the revised Terms. If you do not agree with the revised Terms, you must stop using the Service and close your account.

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to conflict of law provisions.

Any dispute arising under these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in the State of Florida. You agree to waive any right to a jury trial or to participate in a class action.

17. Miscellaneous

• Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and SoloSolutionsAI.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
• Waiver: Failure to enforce any provision of these Terms does not constitute a waiver of that provision.
• Assignment: You may not assign or transfer your rights under these Terms without our written consent. We may assign our rights and obligations without restriction.
